Acceptance

By requesting a quote, approving a proposal, submitting materials, or using our website, you agree to these Terms on behalf of yourself or the organization you represent.

Services

Motion Nest Productions provides video production, motion content planning, editing, post-production, and related creative services for business and organizational communications. Specific deliverables, timelines, revision rounds, formats, approvals, and project assumptions are described in a written proposal, statement of work, or order confirmation. Our standard business hours are Monday through Friday, 9:00 AM to 6:00 PM PT, excluding holidays.

Quotes & Payment

Quotes are based on the information available when issued, including scope, schedule, production requirements, licensing needs, location requirements, and client responsibilities. Unless stated otherwise in writing, a quote is not a binding commitment until accepted by both parties. Changes in scope, timing, materials, or requested deliverables may require a revised quote or written change order.

Payment terms, deposits, milestones, reimbursable expenses, cancellation terms, and late-payment consequences will be stated in the applicable proposal, invoice, or written agreement. Clients are responsible for providing accurate billing information and timely approvals needed to keep a project on schedule.

Client Materials & Usage Rights

You may provide logos, footage, photographs, scripts, copy, music references, brand guidelines, products, data, or other materials for use in a project. You represent that you have all rights, permissions, and releases necessary for us to use those materials as requested, including rights involving trademarks, copyrighted works, names, voices, likenesses, locations, and personal information.

You grant Motion Nest Productions a limited license to use, reproduce, edit, and incorporate client materials solely to perform the services, prepare drafts, deliver final work, and maintain ordinary business records. You are responsible for the accuracy, legality, and completeness of materials and instructions you provide.

Intellectual Property

Unless a written agreement states otherwise, final deliverables are licensed or assigned to the client only after full payment of all amounts due for the applicable project. Drafts, unused concepts, project files, editing timelines, templates, methods, know-how, internal tools, and pre-existing materials developed or owned by Motion Nest Productions remain our property.

Third-party materials, including stock footage, fonts, music, software, plug-ins, and other licensed assets, are subject to their own license terms. We will identify material third-party licensing requirements when they are part of the approved project scope. No rights are granted except those expressly stated in the applicable agreement.

Acceptable Use

You agree not to use our website or services to request, create, distribute, or promote material that is unlawful, defamatory, infringing, deceptive, harassing, discriminatory, or harmful. You may not attempt to interfere with the security or operation of our website, submit malicious code, impersonate another person or organization, or misrepresent your authority to approve work or provide materials.

Disclaimers

Our website is provided for general informational purposes and may be updated without notice. Services are provided using commercially reasonable skill and care, but creative results depend on project scope, client input, source materials, schedule, technical constraints, and approval decisions. Except as expressly stated in a written agreement, Motion Nest Productions disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Motion Nest Productions Inc. will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, business interruption, reputational harm, or loss of goodwill arising from or related to the website, services, or deliverables. Our total liability for any claim will not exceed the amounts paid to us for the specific services giving rise to the claim during the three months before the event at issue.

Governing Law

These Terms and any dispute arising from our website, services, proposals, or deliverables are governed by the laws of the State of California, without regard to conflict-of-law rules. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Oakland County, California, for any dispute that cannot be resolved informally.
